Ensemble Helper Terms of Service

By accessing or using Ensemble Helper ("the Service") at ensemblehelper.app, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including visitors, registered users, and administrators.
Ensemble Helper is a web application that helps music ensemble directors create, manage, and display seating charts, manage musician rosters, and optionally sync class rosters from Google Classroom. The Service is provided on a subscription basis and may include free trial or beta access periods.
You must be at least 13 years of age to use the Service. If you are under 18, you represent that you have parental or guardian consent. By using the Service, you represent that you meet these eligibility requirements.
4.1 You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
4.2 You agree to provide accurate and complete information when creating your account and to keep this information current.
4.3 You must notify us immediately at admin@ensemblehelper.com if you suspect unauthorized access to your account.
4.4 We reserve the right to terminate accounts that violate these Terms or that have been inactive for an extended period.
5.1 Access to the Service requires a valid subscription. Subscription terms, pricing, and billing cycles are described at the point of purchase.
5.2 Subscriptions automatically renew unless cancelled before the renewal date.
5.3 We reserve the right to change subscription pricing with reasonable notice.
5.4 Refunds and cancellations are governed by our Refund and Cancellation Policy at https://ensemblehelper.com/refund-and-cancellation-policy/. To request a refund, contact admin@ensemblehelper.com.
You agree not to:
7.1 You retain ownership of all content you create or upload to the Service, including seating charts, musician names, and roster data.
7.2 By using the Service, you grant us a limited license to store, process, and display your content solely as necessary to provide the Service to you.
7.3 You are responsible for ensuring that any student data you enter complies with applicable privacy laws, including FERPA and any applicable state laws.
7.4 We do not claim ownership of your content and will not use it for advertising or share it with third parties except as described in our Privacy Policy.
8.1 If you connect your Google Classroom account, you authorize us to access your class list and student roster names on your behalf.
8.2 You are responsible for ensuring that your use of the Google Classroom integration complies with your school or institution's data policies.
8.3 We access Google Classroom data solely to enable the roster sync feature. We do not retain Google Classroom data beyond what is needed to display it in your seating charts.
9.1 The Service and its original content, features, and functionality are owned by Ensemble Helper and are protected by copyright, trademark, and other laws.
9.2 You may not copy, modify, distribute, or create derivative works of the Service or its components without express written permission.
10.1 We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice.
10.2 You may cancel your account at any time by contacting admin@ensemblehelper.com. Upon cancellation, your access will continue until the end of your current billing period.
10.3 Upon termination, you may request a copy of your data within 30 days. After that period, we may delete your data.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENSEMBLE HELPER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.
You agree to defend, indemnify, and hold harmless Ensemble Helper and its operators from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
These Terms shall be governed by the laws of the State of Michigan, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in Michigan.
We may update these Terms from time to time. We will notify users of material changes by updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the updated Terms.
